OAK RUN COMPUTER CLUB BY-LAWS
Originally Adopted June 1988

Article I

The name of the club will be Oak Run Computer Club, hereinafter the Club.

Article II

The purpose of the Club is to promote and advance computer usage among fellow residents and, whenever requested, to provide Oak Run community clubs with technical assistance for computer problems.

Article III

Membership will consist of Oak Run residents upon payment of annual dues. The amount of the annual dues will be decided by a simple majority vote of members present at a regular meeting. Any change in the amount will be in effect for the following year. Dues are payable on January 1 of each year. New members joining between September 1 and December 31 will be paid up for the following year.

Article IV

Regular monthly meetings of the Club will be held on the third Wednesday of each month at 9:00 AM. In case of schedule conflicts, the Executive Board may change the date or time provided the members are given adequate notification of such changes. Such notice will be given on Channel 12 announcements and, when available, on the Computer Club Web Page.

Article V

2 The officers of the Club will consist of President, Vice President, Secretary and Treasurer. Each officer will be elected for a one year term.

It will be the duties of the President to conduct regular monthly meetings, appoint committee chairmen and to conduct liaison between the Club and ORHA.

1 The Vice President will act in the absence of the President. In their absence, their duties shall be assumed by the immediate past president, or the immediate past vice president

The duties of the Secretary will be to record and report the minutes of each Executive Board meeting and maintain copies of the records of the Club. As needed, the Secretary will prepare correspondence required to carry out the functions of the Club.

The duties of the Treasurer will be to collect dues and any other money due the Club, to maintain checking and or savings accounts for the safe keeping of such funds, to pay bills presented for payment and to record and report such receipts and expenditures and the status of the Club's accounts.

Article VI

The Executive Board will consist of the Officers, the most recent past President, three or more Members at Large and the Chairmen of appointed committees if the latter are not already represented on the Board in other capacities.
An Executive Board meeting will be held each month within the two week period immediately preceding the regular monthly meeting. A majority of the members of the Executive Board must be present at such meeting to carry out official business of the Club. Voting at this meeting is restricted to members of the Executive Board and will require a majority of the members present to approve any official business.

Article VII

Nominations for officers for the following year will take place at the regular monthly meeting in October. Candidates for officers will be proposed by the Nominating Committee and additional nominations will be accepted from the floor at any time prior to the election. The election of officers for the following year will be held at the regular monthly meeting in November.

Article VIII

Installation of elected Officers will be held at the regular monthly meeting in January.

Article IX

Computers, peripheral equipment and supplies will be held in the name of the Oak Run Computer Club. The Club will pay all expenses associated with the operation of the Club. Only the President, Vice President, or the Treasurer will be authorized to sign checks of the Club. Any expenditure in excess of $250.00 must be authorized by a majority of the Executive Board.

Article X

An amendment to the By-Laws may be made by a two thirds vote of the members present at a regular monthly meeting, provided that the proposed changes have been presented and discussed at a previous regular monthly meeting.

Article XI

The Oak Run Computer Club subscribes to the terms and conditions imposed by the copyright laws and international treaty to protect software programs, including documentation and media. Software programs owned by the Oak Run Computer Club will be governed by any accompanying licensing agreement.

Article XII

In the event of the dissolution of the Oak Run Computer Club, all assets held in the name of the Club will be divided equally among the then current members of the Club.
